Trasix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes.

4. Customer Responsibilities
If you are a Customer of Trasix’s Services:

You are responsible for ensuring that your end-users comply with these Terms.

You must not share access to the Services beyond the scope permitted by your subscription agreement.

You retain ownership of data provided but grant Trasix the rights to process it for delivering the Services.
5. Subscription, Payment, and Renewal
a. Subscription Terms
Access to certain Trasix Services requires a paid subscription. Subscription details, including features and duration, are provided at the time of purchase.
b. Payments and Refunds

All fees are due as specified in your subscription agreement.

Fees are non-refundable unless explicitly agreed otherwise.
c. Renewal and Termination

Subscriptions will auto-renew unless canceled in accordance with the terms of your agreement.

Trasix reserves the right to terminate or suspend your subscription if payment obligations are not met.
6. Intellectual Property
All intellectual property rights related to the Services, including but not limited to software, designs, and trademarks, are owned by Trasix or its licensors. No rights are transferred to you except for the limited license to use the Services as described in these Terms.
7. Confidentiality
Any confidential information shared between you and Trasix must be kept confidential and used only for purposes related to the Services. This includes, but is not limited to, business information, technical data, and user data.
8. Warranties and Disclaimers
a. Limited Warranty
Trasix provides the Services "as is" and does not guarantee uninterrupted access, accuracy, or completeness.
b. Disclaimers
To the fullest extent permitted by law, Trasix disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose or non-infringement.
9. Limitation of Liability
To the extent permitted by law:

Trasix is not liable for indirect, incidental, or consequential damages.

Trasix’s total liability is limited to the fees paid for the Services in the 12 months preceding the claim.
10. Exclusions
These Terms do not apply to:

Third-Party Services: If you integrate third-party services with Trasix, those services are governed by their own terms and policies.

Customer Data: If you are an end-user of a Trasix Customer, your data is managed under the Customer’s privacy policy and terms.
11. Termination
Trasix may suspend or terminate your access to the Services if you:

Breach these Terms.

Engage in activities that compromise the security or integrity of the Services.
Upon termination, your right to use the Services will cease immediately.
12. Governing Law

United States and Other Regions
If your organization is incorporated in the United States or any region not specifically mentioned below, these Terms shall be governed by and construed in accordance with the laws of the State of California, U.S.A., and the courts located in San Francisco, California, shall have exclusive jurisdiction over all matters, claims, actions, or disputes arising from these Terms, without regard to the principles of conflicts of laws. In such cases:-
Dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, group, or representative action.

Both you and Trasix waive any right to a jury trial.

Neither you nor Trasix will serve as a class representative or participate as a class member in any class, consolidated, or private attorney general action.
You have the right to opt-out of the class action waiver provision in this clause by sending written notice to [Insert Contact Email] within 30 days of accepting these Terms. If you opt out, Trasix may, at its discretion, terminate your account and refund any prepaid fees covering the remaining term of the affected subscription.

European Economic Area (EEA)
If your organization is incorporated in the EEA region, these Terms shall be governed by and construed in accordance with the laws of Ireland, and the Commercial Courts in Dublin, Ireland, shall have exclusive jurisdiction over all matters, claims, actions, or disputes arising from these Terms, without regard to the principles of conflicts of laws.

United Kingdom (UK)
If your organization is incorporated in the United Kingdom, these Terms shall be governed by and construed in accordance with the laws of England and Wales, and the County Courts in London, UK, shall have exclusive jurisdiction over all matters, claims, actions, or disputes arising from these Terms, without regard to the principles of conflicts of laws.

Middle East (GCC) and Turkey
If your organization is incorporated in Kuwait, United Arab Emirates, Saudi Arabia, Qatar, or Turkey, these Terms shall be governed by and construed in accordance with the laws of England and Wales, and the Dubai International Financial Centre (DIFC) Courts shall have exclusive jurisdiction over all matters, claims, actions, or disputes arising from these Terms, without regard to the principles of conflicts of laws.

Asia-Pacific Region
If your organization is incorporated in Australia, China, Indonesia, Japan, Malaysia, New Zealand, Singapore, Sri Lanka, Thailand, or Vietnam, these Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles. Any disputes or differences arising under, relating to, or connected with these Terms shall be resolved by final and binding arbitration in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC Rules) as in force at the time.
13. Changes to Terms
Trasix reserves the right to update these Terms from time to time. Changes will be posted on this page, and continued use of the Services constitutes your acceptance of the revised Terms.

15. Entire Agreement
These Terms constitute the entire agreement between you and Trasix concerning the use of the Services, superseding all prior agreements.
